Terms of Service

These Terms of Service apply to work carried out by Ryansgate Ltd and to enquiries or services arranged through rthomasdesigner.com.
By commissioning work, accepting a proposal, statement of work or quotation, or otherwise agreeing for work to begin, you agree to the terms below unless separate written terms have been agreed.
1. Services
Ryansgate Ltd provides professional creative and digital services which may include:
• Product design
• UX and UI design
• Interaction design
• Service design
• User research and discovery support
• Prototyping
• Design systems
• Accessibility focused design
• Framer design and implementation
• Creative direction
• Videography and photography
• Video editing and post production
• Motion design
• Design consultancy
The exact scope, deliverables, timescales and fees for each engagement will be agreed separately before work begins.
2. Project Scope
Each project or engagement will be based on an agreed scope of work.
This may be documented through a proposal, contract, statement of work, email, purchase order or other written agreement.
Any work requested outside the agreed scope may require:
• Additional fees
• Additional time
• A revised quotation
• A separate agreement
Material changes to the direction or requirements of a project may also be treated as a change of scope.
3. Fees and Payment
Fees will be agreed before work begins.
Depending on the engagement, work may be charged:
• At a day rate
• At an hourly rate
• At a fixed project fee
• Through another agreed commercial arrangement
Payment terms will be stated on the relevant quotation, invoice, contract or statement of work.
Where a payment date has been agreed, payment must be made by that date.
Where no payment date has been agreed, payment will normally be due within 30 days of the relevant invoice.
Ryansgate Ltd reserves the right to pause work where invoices become overdue.
For qualifying business to business transactions, Ryansgate Ltd may exercise its statutory rights relating to late commercial payments.
4. Deposits and Advance Payments
Some projects may require a deposit or advance payment before work begins.
Where a deposit is required, work will not normally begin until the payment has been received unless otherwise agreed in writing.
Any deposit terms, including whether a deposit is refundable, will be confirmed as part of the individual project agreement.
5. Client Responsibilities
Clients are responsible for providing the information, access and materials reasonably required to complete the agreed work.
This may include:
• Project requirements
• Content
• Brand guidelines
• Existing designs or research
• Technical information
• Access to relevant systems or platforms
• Feedback and approvals
• Appropriate access to stakeholders or users where required
Delays in providing required information, feedback or approvals may affect agreed delivery dates.
The client is responsible for ensuring that any materials supplied to Ryansgate Ltd can legally be used for the project.
6. Feedback and Revisions
The number and nature of revisions will depend on the individual engagement.
Where specific revision limits have been agreed, work outside those limits may be charged separately.
Feedback should relate to the agreed objectives and scope of the project.
Substantial changes to an approved direction may require additional time and fees.
7. Intellectual Property
Unless otherwise agreed in writing, ownership of final commissioned deliverables will transfer to the client once all fees relating to those deliverables have been paid in full.
Ryansgate Ltd retains ownership of:
• Unused concepts
• Unselected design directions
• Internal working materials
• Methods, processes and reusable knowledge
• Tools, templates and systems developed independently of the client engagement
Third party materials remain subject to the licences and terms of their respective owners.
8. Portfolio and Case Study Use
Unless confidentiality requirements or a separate agreement prevent it, Ryansgate Ltd may display completed work as part of:
• Portfolios
• Case studies
• Presentations
• Social media
• Business development material
Confidential, commercially sensitive or restricted information will not knowingly be published without appropriate permission.
Where a non disclosure agreement or other confidentiality agreement applies, its terms will take precedence.
9. Confidentiality
Information identified as confidential, or which should reasonably be understood to be confidential, will be treated accordingly.
Ryansgate Ltd will not intentionally disclose confidential client information to third parties except where:
• Permission has been given
• Disclosure is required to perform the agreed services
• Disclosure is required by law
Confidentiality obligations may continue after a project has ended where appropriate.
10. Third Party Services
Projects may involve third party services, software, platforms, hosting providers, plugins, AI tools, fonts, stock assets or other external products.
Ryansgate Ltd is not responsible for changes, outages, pricing changes, restrictions or failures caused by third party providers.
Clients may be responsible for purchasing or maintaining licences required for their own continued use of third party products.
11. AI Assisted Work
AI tools may be used where appropriate to support research, exploration, ideation, prototyping, content development, production or other parts of the creative process.
AI generated or AI assisted material will not automatically be treated as final client work without appropriate review.
Where a client project contains confidential or restricted information, any specific restrictions relating to AI tools should be agreed before work begins.
12. Project Delays
Delivery dates depend on the timely provision of information, feedback, access and approvals.
Ryansgate Ltd will not be responsible for delays caused by:
• Delayed client feedback
• Missing materials
• Changes in project scope
• Third party services
• Events reasonably outside its control
Where a delay materially affects the agreed schedule, revised delivery dates may be proposed.
13. Cancellation and Termination
Either party may terminate an engagement in accordance with the terms of the relevant contract, proposal or statement of work.
Where no separate termination terms have been agreed, the client remains responsible for payment for work completed up to the date of termination and for any agreed or unavoidable costs already incurred.
Any work that has not been paid for remains the property of Ryansgate Ltd unless otherwise agreed.
14. Delivery and Source Files
Final deliverables will be supplied in the formats agreed for the project.
Editable or source files will be provided where they form part of the agreed deliverables.
The availability of working files, raw footage, project files, design files or other production assets should not be assumed unless they have been included in the agreed scope.
Ryansgate Ltd is not required to retain project files indefinitely after an engagement has ended.
15. Results and Performance
Design and creative services are intended to support agreed business, user and communication objectives.
Ryansgate Ltd does not guarantee specific commercial outcomes such as:
• Revenue increases
• Conversion rates
• User growth
• Search rankings
• Investment
• Sales
• Business performance
Where research, testing or analytics are used, findings represent the evidence available at the relevant time.
16. Liability
Ryansgate Ltd will provide services with reasonable care and skill.
To the fullest extent permitted by law, Ryansgate Ltd will not be responsible for indirect or consequential losses arising from the use of the services or deliverables.
Nothing in these terms excludes or limits liability where doing so would be unlawful.
Any additional liability provisions agreed in a specific contract or statement of work will take precedence over this section.
17. Website Content
The portfolio and information available through rthomasdesigner.com are provided for general information and demonstration purposes.
Case studies may summarise projects and omit confidential or commercially sensitive details.
Project outcomes, responsibilities and circumstances may differ between engagements.
Content may be updated, amended or removed without notice.
18. Privacy
Personal information submitted through the website or during an enquiry will be handled in accordance with the Privacy Policy available on rthomasdesigner.com.
19. Changes to These Terms
These terms may be updated periodically to reflect changes to services, working practices or legal requirements.
The version applicable to an individual project will normally be the version in effect when that engagement is agreed, unless alternative terms have been agreed in writing.
20. Governing Law
These terms and any dispute arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, unless another jurisdiction has been expressly agreed in writing.
